Genesis Trade Corporation (âGenesis,â âwe,â âus,â or âourâ) operates genesistrade.ai, a marketplace platform that connects buyers and sellers of physical commodities. Genesis is incorporated in the State of California, USA, with its principal office at 9350 Wilshire Blvd, Suite 203, Beverly Hills, CA 90212.
Genesis operates in two distinct capacities, and the listing itself identifies which applies:
(a) Marketplace (third-party listings). For listings offered by third-party sellers, Genesis provides a platform where buyers and sellers discover each other, negotiate terms, and transact. For these listings Genesis is NOT a party to the transaction, does not buy or sell the commodity, and does not guarantee the quality, quantity, specification, origin, legality, or fitness for purpose of any third-party commodity. Those transactions are between the buyer and seller directly, and each party is responsible for its own due diligence.
(b) Principal merchant (âGenesis Sourcedâ listings). For listings expressly marked âGenesis Sourced,â Genesis (or an affiliated sourcing entity) acts as the contracting seller of record and sources the commodity on a back-to-back basis from its supply partners. For these orders Genesis is a party to the transaction and stands behind delivery in accordance with the agreed order terms. Quality inspection and the holding and release of funds are administered by independent, licensed third-party providers as described in Sections 3, 6 and 7; Genesis itself does not hold customer funds or perform inspections in either capacity.
Nothing on the platform â including the Genesis Index, reputation features, or marketing copy â modifies these terms or creates any guarantee beyond what is expressly stated here.
Genesis does not hold, transmit, control, or process any customer funds at any point during a transaction â including on Genesis Sourced orders where Genesis is the contracting seller. All payment processing, escrow services, and fund transfers are handled by independent, licensed, and regulated third-party payment and escrow partners, who hold and release funds under their own agreements with the transacting parties. Genesis's role is limited to facilitating the connection between the parties and their selection of licensed payment and escrow services.
Genesis is not a bank, money transmitter, money services business, or financial institution. Genesis does not provide loans, credit, trade finance, insurance, or any financial product. Where such services are referenced on the platform, they are provided by independent licensed partners and Genesis acts solely as a referral marketplace.
The âGenesis Indexâ displays reference prices for commodities derived from live exchange benchmarks where available, benchmark-anchored derivations for related grades, and published wholesale reference data; each price is labelled by source (e.g. live, indicative, reference). Genesis Index prices are provided for INFORMATIONAL PURPOSES ONLY and do not constitute an offer to buy or sell at the displayed price, except where a listing expressly presents a firm Genesis Sourced offer. Actual transaction prices are confirmed at the point of order.
Genesis makes no warranty regarding the accuracy, completeness, timeliness, or reliability of Genesis Index pricing. Users should not rely solely on Genesis Index prices for purchasing decisions.
Genesis offers various verification and trust-related features including supplier verification, reputation scores, and references to third-party inspection services. THESE FEATURES ARE PROVIDED ON A COMMERCIALLY REASONABLE EFFORTS BASIS AND DO NOT CONSTITUTE A WARRANTY OR GUARANTEE OF:
⢠The identity, legal status, financial condition, or creditworthiness of any user or company on the platform
⢠The quality, quantity, or specification of any commodity
⢠The outcome of any inspection or verification process
⢠The successful completion of any transaction
⢠The accuracy of any reputation score, tier classification, or verification badge
Reputation scores and tier classifications are based on data available to Genesis and are algorithmically generated. They reflect historical patterns and do not predict future performance. Users are solely responsible for their own due diligence on all counterparties.
Genesis may reference or facilitate connections to third-party inspection companies (such as SGS, Bureau Veritas, Intertek, and others). These inspection companies are INDEPENDENT third parties and are NOT agents, employees, or representatives of Genesis. Genesis does not guarantee that inspections will be conducted, that inspection results will be accurate, or that inspection services will be available for any particular transaction.
The relationship between buyers/sellers and inspection companies is governed by the inspection company's own terms of service. Genesis's role is limited to referral.
Where escrow services are referenced on the platform â including the âescrow-protectedâ and âbuy with confidenceâ features and on Genesis Sourced orders â they are provided by independent, licensed escrow partners (such as Escrow.com), NOT by Genesis. Genesis does not hold escrow funds. The terms of escrow are governed by the escrow partner's agreement with the transacting parties. Genesis is not responsible for any failure, delay, or dispute arising from escrow services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENESIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:
⢠Failed transactions between buyers and sellers
⢠Commodity quality issues, shortages, or specification non-conformance
⢠Counterparty default, fraud, or insolvency
⢠Payment delays, escrow disputes, or fund losses handled by third-party partners
⢠Inspection failures or inaccurate inspection reports
⢠Shipping delays, damage, or loss
⢠Inaccuracy of Genesis Index pricing, reputation scores, or any platform data
GENESIS'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU TO GENESIS IN THE 12 MONTHS PRECEDING THE CLAIM.
Users are responsible for: (a) providing accurate information in their profiles and listings; (b) complying with all applicable laws and regulations in their jurisdiction, including export controls, import regulations, and sanctions laws; (c) conducting their own due diligence on counterparties and commodities; (d) obtaining all necessary licenses, permits, and approvals for their trade activities; (e) paying all applicable taxes, duties, and fees.
Users may not use the platform to: trade in sanctioned goods or with sanctioned entities; engage in fraud, money laundering, or terrorist financing; misrepresent the quality, quantity, origin, or specification of commodities; manipulate Genesis Index pricing; create fake profiles or provide false verification information; violate any applicable law or regulation.
Buyer access to the platform is free. Sellers pay a fee of 1.5% on completed transactions only, collected by the escrow or payment partner and remitted to Genesis. Genesis reserves the right to modify fees with 30 days' notice. No listing fees, subscription fees, or membership fees are charged as of the date of these terms.
The Genesis Trade platform, Genesis Index, and all associated content, data, software, and intellectual property are owned by Genesis Trade Corporation. Users may not copy, distribute, or commercially exploit Genesis Index data without written permission. Institutional data subscriptions are available via institutions@genesistrade.ai.
Genesis may suspend or terminate any account that violates these terms, engages in prohibited activities, or is flagged by sanctions screening. Users may close their accounts at any time. Outstanding obligations survive termination.
These terms are governed by the laws of the State of California, USA. Any dispute arising from use of the platform shall be resolved by binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
